THESE TERMS OF USE CONTAIN VERY IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS AND OBLIGATIONS, AS WELL AS CONDITIONS, LIMITATIONS, AND EXCLUSIONS. PLEASE READ THESE TERMS OF USE CAREFULLY BEFORE ACCESSING OR USING THE SOFTWARE. PLEASE NOTE THAT USING THE SOFTWARE TO MANAGE THIRD PARTIES' CRYPTOCURRENCY HOLDINGS IN ANY MANNER IS NOT AUTHORIZED.
1.1 We are BCCL GmbH, a company incorporated under Swiss law, registered in the commercial register of the Canton of Valais, Switzerland, with its registered office in Sion, Valais, Switzerland (“BCCL”, “we”, “our”, or “us”).
1.2 We provide tools and features to manage your own cryptocurrency holdings via our trading robot BcclBot (“Software”, as defined in Section 2 below). These Terms of Use (“Terms of Use”) govern access to and use of the Software. The Software is accessible via the website www.bcclbot.com (“Website”) and/or via the BcclBot mobile application (“Application”) and application programming interfaces.
1.3 The term “you” or “Client” means you, an individual, or the legal entity on whose behalf you have accepted or consented to these Terms of Use. If you accept these Terms of Use on behalf of a legal entity, you represent and warrant that you have the authority to bind that legal entity to these Terms of Use.
1.4 By accepting these Terms of Use or accessing the Software, you agree to be bound by these Terms of Use and any referenced policies, including but not limited to the Privacy Policy, Refund Policy, which are all incorporated into these Terms of Use. Acceptance of these Terms of Use constitutes the entire, complete, and binding agreement between you and BCCL (individually “Party”, collectively “Parties”) regarding the Software. If you do not wish to be bound by these Terms of Use, do not create an account, access the Software, and/or use any service covered by these Terms of Use.

3.1 The Software provides you with tools and features to manage your cryptocurrency holdings via Exchange Accounts, including but not limited to:
3.1.1 Free Features. These are tools and features accessible for free without using Credits, such as parameterizing a list of cryptocurrencies by activating or deactivating them for trading. BCCL may modify the free tools and features offered at its sole discretion without notice. Services available in each jurisdiction may vary.
3.1.2 Credit-Based Features. These are tools and features such as automated trading, which are only available by consuming Credits. Credit-Based features will be those enabled based on your available Credits balance at the time of use.
3.2 More detailed information regarding each free or Credit-Based feature is available on our Website. By accessing and using any free or Credit-Based feature, you acknowledge and confirm that you have familiarized yourself with all information available on the Website regarding that free or Credit-Based feature. Where indicated on our Website, the relevant free or Credit-Based feature is offered by a third party and the relevant third party assumes all responsibility related to the provision of that Third-Party Service.
4.1 Eligibility Criteria. To access the Software, you must meet the following criteria and represent and warrant that:
4.1.1 you have full power, authority, and capacity to access the Software and enter into and comply with these Terms of Use,
4.1.2 if you are an individual, you are at least 18 years old,
4.1.3 you are not suspended from access to the Software or otherwise prohibited from having a Client Account,
4.1.4 you use the Software solely for yourself and not on behalf of any third party, including you do not manage third parties' cryptocurrency holdings in any manner,
4.1.5 you do not engage in any illegal activity and do not use funds or resources derived from illegal activity or money laundering or any other criminal activity,
4.1.6 you meet the conditions set forth in Section 26.1;
4.1.7 your access to the Software does not violate any applicable law or regulation in the jurisdiction where you reside. If such use is not permitted by applicable laws, you must not access the Software.
4.2 Creation of a Client Account. To access the Software, you must create a Client Account. You can do this by visiting the registration page and following the displayed instructions.
4.2.1 You are required to provide truthful, up-to-date, valid, and complete information during the Client Account registration process. When requested by BCCL, you must provide the respective supporting documentation. In case of changes, you must update your Client Account information without delay. You may update or modify your Client Account settings at any time.
4.2.2 By creating a Client Account, you confirm that you access the Software at your sole discretion, and you are fully responsible for any activity occurring under your Client Account. Upon creation, you will receive 10,000 free Credits.
4.2.3 The Client Account is provided for free. BCCL has the right to refuse to provide you with a Client Account at its sole discretion without reason, in which case you must not use the Software.
4.3 Connection with an Exchange Account. To use the Software's trading functions, you must connect your Exchange Account to your Client Account. Please note that when you use the specific Exchange Account, you are also bound by their specific terms and conditions. Upon connecting the Exchange Account, you confirm that the Exchange Account is personally yours and that you are not connecting to someone else's account.
4.3.1 For more information on connecting your Exchange Account, please visit our Website or the exchange connection page when logged into the Software.
4.3.2 Suspension and/or termination of your Exchange Account will directly affect the availability of the Software connected to that Exchange Account, for example, a transaction request made on the Software may be rejected by the exchange.
4.3.3 In certain circumstances and to ensure the security of the Client Account, BCCL may delete the API keys used to connect the Exchange Account for security purposes, which will require you to reconnect to your Exchange Account. Deletion of your API keys may result in data loss.
4.4 Connection with a “Read-Only Wallet”. You may connect your existing non-custodial third-party wallet (e.g., Binance Smart Chain, Ethereum, Tron) in read-only mode to your Client Account by providing us with the public address of that third-party wallet. BcclBot's Read-Only Wallet feature allows you to track the total number and value of cryptocurrencies across your connected third-party wallets from “My Wallet”. We do not execute any cryptocurrency or asset transactions via a third-party wallet; all transactions will be executed via third-party facilitators (e.g., payment solutions for fiat transactions).
5.1 Upon creating a Client Account, BCCL provides 10,000 free Credits to evaluate the Software's Credit-Based features, such as automated trading.
5.2 Eligibility for Free Credits is automatic upon Client Account creation. BCCL may limit or modify this offer at its sole discretion to prevent abuse.
5.3 Free Credits are non-refundable, non-transferable, and expire if not used within the timeframe specified on the Website. Additional Credits must be purchased via one-time payments.
5.4 At any time, you may purchase additional Credits through your Client Account. Unused Credits do not carry over beyond account termination.
6.1 The Software is intended to access and use tools and features to manage your own cryptocurrency holdings. Depending on your available Credits, the purpose of the Client Account is to provide you with access to the Software. You may only use the Software within the scope of the intended and permitted use defined here. Using the Software for any other purpose is not authorized.
6.2 You must access the Software in compliance with applicable laws and these Terms of Use. Without excluding or limiting any of your statutory obligations, you must not use your Client Account and the Software in particular to:
6.2.1 manage multiple accounts from the same Exchange Accounts via your personal Client Account without sufficient Credits;
6.2.2 impersonate any individual or entity, or falsely state or otherwise misrepresent your affiliation with any individual or entity;
6.2.3 trade on platforms to which you are not supposed to have access;
6.2.4 upload, post, email, transmit, or otherwise make available any illegal, harmful, threatening, abusive, fraudulent, harassing, offensive, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable content;
6.2.5 upload or transmit worms, viruses, trojans, time bombs, or any other malicious code or material (including content that may affect or could affect the functionality or operation of the Software, Website, and Application);
6.2.6 transmit or otherwise make available any content that you do not have the right to make available.
Important Note on Liability: BCCL does not provide financial, investment, or trading advice. Use of BcclBot involves substantial risks, including total loss of capital. You assume all risks associated with automated trading. BCCL disclaims all liability for losses, damages, or harms resulting from use of the Software, including but not limited to technical errors, market fluctuations, service interruptions, or any automated trading decision. You expressly waive any claim against BCCL for any indirect, incidental, special, consequential, or punitive loss.
7.1 All payments for Credits are one-time, non-refundable except as expressly provided in these Terms of Use or required by law. You are responsible for all taxes applicable to the payments.
7.2 Credits are purchased on a pay-per-use basis and consumed as trading activities occur. BCCL may update Credit pricing at its discretion with notice via the Website.
8.1 The Software and all related intellectual property rights are owned by BCCL or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Software solely for your personal use in accordance with these Terms.
9.1 Third-Party Services are provided by third parties and are subject to their own terms. BCCL is not responsible for Third-Party Services.
10.1 You retain ownership of Client Content but grant BCCL a worldwide, royalty-free license to use it as necessary to provide the Software.
11.1 You are responsible for maintaining the confidentiality of your account credentials. BCCL uses reasonable security measures but disclaims liability for unauthorized access.
12.1 You may terminate your account at any time. BCCL may terminate or suspend access at its discretion.
13.1 The Software is provided “as is” without warranties of any kind. BCCL does not guarantee uninterrupted or error-free operation.
14.1 To the maximum extent permitted by law, BCCL's total liability shall not exceed 100 CHF. BCCL shall not be liable for indirect, consequential, or punitive damages.
15.1 You agree to indemnify BCCL against any claims arising from your use of the Software.
16.1 These Terms are governed by Swiss law. Any disputes shall be resolved exclusively in the courts of Sion, Switzerland.
17.1 BCCL may update these Terms at any time. Continued use constitutes acceptance.
18.1 Neither party is liable for delays due to events beyond reasonable control.
19.1 If any provision is invalid, the remainder remains in effect.
20.1 No waiver of any breach is a waiver of any other.
21.1 You may not assign these Terms without BCCL's consent.
22.1 These Terms constitute the entire agreement.
